Please read this binding Agreement carefully and in its entirety, as it contains information about your rights, limitations, and use of this service.
The terms "we", "us", "our", “Groupbook” and "Administrator" refer to LeadOff Travel, LLC., a Florida Limited Liability Company, and its subsidiaries and corporate affiliates, (collectively, the "LeadOff Companies" or “Groupbook). “Vendor” or “Supplier": means any third-party entity offering reservations or room options on the website; Hotels may be referred to as “Vendor.” The term “you”or “your” refers to the customer or user visiting the Website and/or booking a reservation through us on this Website, or through our customer service agents.
If you are not in agreement with our terms and conditions, then you should refrain from further use of our sites. In addition, your continued use of our website following the posting of any updates or changes to our terms and conditions shall mean that you are in agreement and acceptance of such changes. Any rights not expressly granted herein are reserved. This Agreement supersedes any prior Agreements between the parties.
Access and Use of the Services
Groupbook reserves the right, in its sole and absolute discretion, to deny an order or terminate an existing order; Groupbook is under no obligation to explain the reasoning behind its decision.
Groupbook reserves the right to make changes to the content and Services offered on the Website and/or service at any time. Your continued use of the website and/or platform will be deemed your acceptance of the changes.
Ownership and Intellectual Property Rights
The online booking engine technology you are using is a service provided exclusively by and is the sole property of the Hotel Website Administrator (“Administrator” or “Groupbook”). All rights to the platform (including copyrights, trademarks, content, arrangements, etc.) are operated and owned by Groupbook. You acknowledge and agree by using our services and accepting these terms that you will use the service and the Groupbook platform only for its intended purpose; you shall respect the terms established throughout this Agreement. Some of the static content and rates on this site are owned and managed by third-party providers and distributors, collectively referred to as “Suppliers.” The administrator retains all rights to display Supplier's content and rates on this site, and all content is subject to any applicable federal and state laws governing copyrights, trademarks, and service marks.
Groupbook has the option to block any visitor of the Platform if we suspect you are using the platform inappropriately.
Limitations on Use of Website
As a condition of your use of this website, you warrant and represent to Administrator that you will not use this website or information, images or data on the website, for any illegal purpose, or for any purpose that is prohibited by this agreement, and you agree not to: modify, copy, distribute, transmit, publish, display, license, create derivative works from or sell any product, services, information or software obtained from this website.
Your Warranties to Administrator
You agree to use this Service to make only legitimate reservations or purchases and shall not use this Service to make any speculative, false or fraudulent reservation or any reservation in anticipation of demand. You warrant that you are at least 18 years old and possess the legal authority to enter into this agreement and to use this website in accordance with the terms and conditions of this agreement. You agree to be financially responsible for all uses of this Service as well as for the use of your name and credit card account to pay for products and services purchased at this website by members of your household, including minors living with you. You also warrant that all information supplied by you or members of your household in using this website is true and accurate.
Administrators Platform and Links to Third-Party Websites
Most information on the website is provided via third-party suppliers. Additionally, we perform constant due diligence and take reasonable measures to ensure the information on our website is up-to-date and correct. However, we cannot guarantee the accuracy of such information and therefore we do not accept responsibility for any inaccuracies, errors, interruptions, or missing information.

Account
To book a reservation, you may need to provide personal information and/or create an Account on the platform. Please ensure all information (including your name, email address, phone number, payment information, etc.) is correct. Inaccuracies may affect your ability to our service.
You shall keep all account information up to date, use reasonable means to protect Your account information, passwords, and other login credentials, and promptly notify Administrator of any known or suspected unauthorized use of or access to Your account. For the avoidance of doubt, you are responsible for your account; you should not allow third-party access, as you will be responsible for the damages that arise from third-party actions.
Password and Security
If you are issued or create any password or other credentials to access the Service or the portion of the Website through which the Service is offered, you agree not to give or make available your password or credentials to any unauthorized individuals, and you agree to be responsible for all actions taken by anyone to whom you have provided such credentials, whether intentionally or inadvertently. If you believe that your credentials have been lost or stolen or that someone may attempt to use them to access the Website or Service without your consent, you must inform us immediately.
Right to Contact You
We may use the information that you provide to tailor our experience to you and your needs so that our Service becomes inherently more useful over time.
We may use your email address to give you updates on your future reservations, prior reservations and how our service is evolving, as well as to provide you with promotional materials and offers, should you permit us by clicking accept on the check out page. It is our goal to have hotel promotions be useful and relevant to you, and we want them to become increasingly so over time.
Booking Costs and Fees
You agree that your credit card will be charged for the full cost of your reservation upon submitting your reservation request. The cost of your reservation is the total of the room(s), plus an additional amount for the tax recovery charges and our service fees.
The tax recovery charge is assessed to recover the amount we pay to the property in connection with your reservation for sales and use, occupancy, room tax, excise tax, value added and other similar taxes etc., and the balance of the additional amount is a fee we charge in connection with the handling of your reservation.
We are not the vendor collecting and remitting said tax to the applicable tax authorities. The vendors bill all applicable taxes to us and we remit such tax directly to the vendor. We are not a co-vendor associated with the vendor with whom we book or reserve our customer's travel arrangements. Taxability and the appropriate tax rate vary greatly by location. Our actual tax cost paid to the vendor may vary from the tax recovery charge, depending upon the rates, taxability, etc. in effect at the time of the actual use of the property, automobile, etc. by our customer.
Payment Process
All payments for your upcoming booking will be made to Groupbook. Depending on the Vendor, you may have to pay in full when booking the reservation or make a 30% deposit at the time of booking with the remainder being charged by Groupbook five (5) days prior to the reservation date. For the avoidance of doubt, the amount required upfront will depend on the Vendor policy.
You may be required to provide a credit card at check-in for incidental charges such as parking, resort fees, food, and other charges that may be applicable to the Vendor. We encourage you to refer to the Vendor website or profile for more information on these charges; however, if you have further questions about the payment or credit card policies, please feel free to contact us at [email protected].
Please contact your payment provider immediately if you suspect any fraud or unauthorized use of your Payment Method, which will handle the charges or requests, on their own behalf.
Prices
When you make any reservation, room block, etc., you agree to pay the cost of the room rates presented on the Groupbook Website. In addition, you agree to pay any ancillary charges and taxes that may be applied to your reservation.
The ‘Actual’ price you pay may not be exactly the number presented on the website. Please note that we, or the vendors, round the price of the offering to the nearest whole number; the differences shall not be significant.
We shall use our best efforts to ensure accuracy with all information and figures presented on our platform. Obvious errors and inaccuracies shall not be binding on Groupbook. If a reservation is canceled due to an obvious mistake, you shall be refunded all monies paid.
Relationship
The relationship between the travel vendors supplying services (Suppliers), Administrator, and you will be that of a rooms provider, broker, and customer respectively, and none of the parties listed or any of our respective officers, agents or employees will be held or construed to be partners, joint ventures, fiduciaries, employees or agents of the other.
You acknowledge that the Third Party Vendors and Groupbook are not joint-ventures, subsidiaries, affiliates, or co-vendors, and are not under Groupbook’s control, and said Vendors are offering lodging or hotel packages as part of the service.
You acknowledge and Agree that Groupbook shall not be liable for any losses, injuries, or damages caused by or attributable to the acts and/or omissions of the Vendors, its employees, or its agents. We are not a party to the Agreement or terms between you and the Vendor. The Vendor shall be solely responsible for providing you with hotel rooms or other lodging accommodations.
Refusal of Service
Administrator reserves the right to refuse service to anyone at our sole discretion so long as our refusal to provide service does not violate any applicable Federal or State Law.
Cancellation
Administrator reserves the right to cancel our service or services at any time for any reason.
Customer Changes and Cancellations
You may cancel or change your Prepaid Reservation unless otherwise stated in the specific terms associated with the inventory you agree to purchase. Some cancellations or room-night reductions may result in a service fee.
If you cancel or change your reservation after the cancellation policy period applicable to the hotel and room type you reserved, you may be subject to a charge of one-night's room rate, tax recovery charges and service fees or greater penalties based on the terms of your reservation. Refunds may or may not be made for no-shows or early checkouts. For the avoidance of doubt, cancellation and no-show fees, or applicable refunds, will depend on the Vendor’s policy.

You agree to abide by the terms and conditions and cancellation policies imposed with respect to any completed reservation. Additional Terms and Conditions
Additional terms and conditions may apply to reservations; purchases of goods and services and other uses of portions of this site, and you agree to abide by such other terms and conditions.
Groupbook makes no representations or warranties regarding the suitability, reliability, availability, timeliness, quality, or lack of viruses or other harmful components of the website or the software or the services, or the accuracy of such information, software, products and services.
Other Miscellaneous Terms
The Administrator booking engine pulls inventory from several sources to provide customers with the greatest variety of room availability and guaranteed low rates.
Severability
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth below, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and agreement shall continue in effect. In addition to any other rights or remedies available to Administrator, and without any liability to any user of the Administrator service, Administrator, at its sole discretion may terminate or restrict any user's access to Administrator services at any time and without notice. Exclusion Of Warranty
ADMINISTRATOR AND THIRD PARTY SUPPLIERS AND DISTRIBUTORS DO NOT WARRANT THE QUALITY, ACCURACY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY OF THE SERVICES, CONTENT OR DATA FOUND ON OR IN CONNECTION WITH THIS SERVICE.
Limitation Of Damages
THE DATA AND SERVICES PROVIDED BY ADMINISTRATOR ARE PROVIDED "AS IS." ADMINISTRATOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY OF THE DATA OR SERVICES PROVIDED BY ADMINISTRATOR OR A THIRD PARTY SUPPLIER, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW DISCLAIMS ALL IMPLIED WARRANTIES IN CONNECTION WITH SUCH DATA OR SERVICES. In no event shall Administrator be liable for any injury, loss, claim, damage, or any incidental or consequential damages (including, but not limited to lost profits or lost savings) arising out of or in any way connected with the use of any display or listing of any data on this website, or any failure or delay in updating or including any data on this website, or any use of or inability to use any data on this website (including, without limitation, the use of or inability to use Administrator for reservations or ticketing), or the performance or nonperformance by Administrator of any reservations or ticketing function, even if Administrator has been advised of the possibility of such damages. Some states do not allow the exclusion of implied warranties or the limitation or exclusion of liability for incidental and consequential damages, so the above exclusions may not apply to you. If, however, despite the exclusions contained in this paragraph, Administrator should be found liable for any loss or damage which arises out of or is in any way connected with any of the functions or uses of Administrator described above, Administrator's liability shall not exceed the amount of any transaction fees and/or service charges paid by claimant to Administrator for the services and/or data with respect to which liability is found. All limitations of damage set forth in your ticket, including loss and/or damage to luggage or its contents, personal injury or death, are incorporated into this agreement by reference and any claims are subject to said laws or treaties.
As the person using and making a reservation through the service, you acknowledge and accept responsibility for your actions and the actions of the individuals in your group. By providing us with personal information, you represent and warrant that you have received consent to supply us with third-party personal information.
You acknowledge and agree that the Website and the Software and the Services are provided “as is,” “where is,” “as available,” and “with all faults,” and that Groupbook has no responsibility or liability for the loss or deletion of, or failure to receive, process or store any purchases maintained or transmitted using the Services.
Indemnification
YOU SHALL DEFEND AND INDEMNIFY ADMINISTRATOR AND THIRD PARTY SUPPLIERS AND DISTRIBUTORS FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION BROUGHT BY OR ON YOUR BEHALF IN EXCESS OF THE LIABILITY DESCRIBED HEREIN OR BY A THIRD PARTY AS A RESULT OF YOUR USE OF THIS SERVICE. SUCH INDEMNIFICATION SHALL INCLUDE ALL REASONABLE EXPENSES, COSTS OF COURT, AND REASONABLE ATTORNEYS FEES INCURRED IN CONNECTION WITH THE DEFENSE TO AMY CLAIMS DEFINED IN THIS PARAGRAPH MODIFICATION. Administrator may at any time modify these terms and conditions and your continued use of this Service will be conditioned upon the terms and conditions in force at the time of your use.
Governing Law And Stipulation Of Venue
The laws of Florida govern this agreement. You hereby consent to the exclusive jurisdiction and venue of courts in Broward County, Florida, U.S.A., in all disputes arising out of or relating to the use of this website. Use of this website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
Entire Agreement
These terms and conditions contain the entire agreement between us relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing.
Travel Precautions
Please consult the travel advisory issued and updated by the U.S. State Department for information concerning any warnings or dangers associated with travel to a particular area.
Communications with Vendor
Please contact the Vendor directly if you have any questions pertaining to your reservations. We cannot guarantee that the Vendor will acknowledge or respond to your communications. We will assist you, if possible.
Complaints
All complaints directly relating to your use of the platform shall be sent to [email protected]. Please provide relevant information so we may assist you as quickly as possible. As stated, all complaints related to the hotel or travel experience shall be sent directly to Vendor.
